Terms of Service

Last updated 10 September 2026

The agreement between your organisation and us: what you get, what it costs, what each of us is responsible for, and what happens when it ends.

Draft. This document describes how Oprex works today, but it has not been reviewed by a lawyer. It must not be relied on as a binding contract until it has been. 1 placeholder still to settle, marked below.

Who these terms are between

These terms are an agreement between IT-RAYS, a company registered in Egypt at 50 Ali Khalifa Street, New Toureel, Mansourah, Egypt (“we”, “us”), and the organisation that opens a Oprex workspace (“you”, “your organisation”).

The person who opens the workspace confirms they are authorised to accept these terms on behalf of their organisation. Everyone your organisation later invites is bound by them as a user of your workspace, but the agreement itself remains with the organisation.

What the service is

Oprex is a hosted workspace containing chat, audio and video calling, scheduled meetings, a document library, whiteboards, a project and delivery board with test management, access to mailboxes you already own, and an assistant. The current capabilities are listed on our features page.

We may add, change or remove features. Where a change removes something material that your plan relied on, we will tell you before it takes effect.

Accounts, seats and invitations

A seat is one person. Your subscription entitles your workspace to a number of seats, and people are admitted to the workspace by invitation from an administrator in your organisation.

Guests invited from outside your organisation to a single conversation, meeting or call do not consume a seat and do not become users of your workspace. They can reach only the thing they were invited to.

You are responsible for who you invite and for what they do with the access you give them. Accounts are personal; sharing one set of credentials between several people is not permitted and undermines the audit trail your own administrators depend on.

Trials

A trial gives you the full product for the trial period, with no payment method required. It is not a restricted sandbox — work you do during a trial is real work in a real workspace.

When a trial ends without a plan being chosen, the workspace becomes read-only. Nothing is deleted at that point: your people can still sign in and read what is there, but they cannot create or change anything until a plan is selected.

If no plan is chosen within 30 days after a trial ends, we may delete the workspace and its contents. We will give you notice before we do.

Fees and payment

Subscriptions are charged per seat, monthly or annually in advance, at the prices published on our pricing page at the time you subscribe. Prices exclude tax unless stated otherwise.

Adding seats mid-term is charged pro rata for the remainder of the term. Reducing seats takes effect at the next renewal — we do not refund unused seats within a term already paid for.

We may change prices for a renewal term with at least 30 days notice. A price change never applies to a term you have already paid for.

If an invoice is unpaid for 14 days after it falls due, we may make the workspace read-only in the same way as an expired trial, and after that suspend access. We will contact your administrators before either step.

Your data

Your content is yours. We do not claim ownership of anything your people write, upload or create in the workspace, and we do not use it to train models.

We process your content in order to provide the service and for no other purpose. The detail of what that involves, including the third parties who process data on our behalf, is set out in our privacy policy and our sub-processor list.

Your mail is a special case worth stating plainly: Oprex connects to mailboxes you already own over IMAP and SMTP. Your mail continues to live on your own mail server, under your own retention rules.

Acceptable use

You may not use Oprex to break the law, to infringe somebody else’s rights, to distribute malware, to send unsolicited bulk mail, or to attack the service or the people using it.

You may not attempt to circumvent seat limits, access another organisation’s workspace, or probe the service for vulnerabilities without written permission. If you believe you have found a security flaw, tell us at security@oprex.net and we will work with you.

We may suspend access where use is causing harm to other customers or to the service. Where it is safe to do so we will contact you first; where it is not, we will contact you immediately afterwards and explain why.

Availability and support

We aim to keep Oprex available and to give reasonable notice of planned maintenance, but we do not currently offer a contractual uptime commitment. If your organisation requires one, raise it before you subscribe and we will tell you honestly whether we can meet it.

Support is provided by email at support@oprex.net. Enterprise plans include priority support on the terms agreed in your order.

Ending the agreement

You can stop at any time. Cancelling takes effect at the end of the term you have paid for; we do not pro-rate refunds for a term already begun.

We may end the agreement if you materially breach these terms and do not fix it within 30 days of us telling you.

For 30 days after the agreement ends you may ask us for a copy of your data and we will provide it. There is no self-service export in the product today — this is a request to us, and we say so rather than implying a button that does not exist.

Liability

Nothing in these terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

Subject to that, neither party is liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid us in that period. [TO BE CONFIRMED BY COUNSEL — the cap and its carve-outs are a commercial decision.]

Changes to these terms

We may update these terms. If a change materially affects your rights we will give you at least 30 days notice before it applies, and the date at the top of this page always reflects the current version.

Continuing to use Oprex after a change takes effect means you accept it. If you do not, you may cancel and we will refund the unused remainder of a term paid in advance.

Governing law

These terms are governed by the laws of Egypt, and the courts of Egypt have exclusive jurisdiction over any dispute arising from them.
